Any order placed with our company, regardless of its origin, implies unconditional acceptance of these general terms and conditions of sale. They take precedence over any general purchasing conditions, regardless of their terms, and nullify any contrary clauses that may appear in the buyer’s contracts, documents, or correspondence that would obstruct the application of these terms.
The prices of our products are set according to the rate in effect on the day the order is shipped. They are stated in Euros EXCLUDING TAXES, ex-works FORNEX. Consequently, they will be increased by the VAT rate and applicable shipping costs on the order date. The company reserves the right to modify them at any time, without prior notice, in the event of fluctuations in raw material costs. Shipping costs are calculated per order and will be re-invoiced according to the current rate schedules of our carriers.
Free shipping is triggered for orders deliverable in France, equal to or exceeding €1200 excluding tax (after discounts). Express shipping costs requested by the customer remain their responsibility. A fee of €8.00 per invoice will be applied for standard packaging. Additional fees apply for reinforced or specific packaging.
Given the scope of the REP Building sector (extended producer responsibility for building products and materials), the prices in this catalog may be subject to variations due to the evolving tariff schedules of the eco-contribution, in accordance with the Environmental Code. In particular, the pass-through mechanism of the eco-contribution without reduction provided for in Article R.543-290-3 of this code applies. REP PMCB Compliance: The unique identifier under Article L.514-10-13 of the Environmental Code, attesting to the seller's compliance with its obligations, is as follows: FR404115-041QOK.
To avoid errors in your orders, we recommend clearly specifying the code of each product. A written document sent by email is mandatory. No telephone orders will be accepted. The consolidation of orders is the buyer’s responsibility. Under no circumstances can SOCOMEX be held responsible for failure to consolidate orders, even if requested individually.
We reserve the right to make deliveries either in full or in part. In the event of partial delivery, payment will be proportional to that delivery, and shipping costs will be calculated only once on the entire initial order.
Any partial delivery requested by the buyer will incur additional transport charges (depending on weight). The goods travel at the buyer’s risk from the moment they are loaded onto the chosen transport mode for the buyer or when the buyer collects them by their own means. In case of missing or damaged goods during transport, the buyer must record all necessary reservations on the delivery note upon receipt. These reservations must also be confirmed in writing within 48 hours of delivery via registered mail with acknowledgment of receipt. Delivery times: Regardless of the agreed delivery time, no compensation can be claimed in case of delay, nor can the order be canceled.

Note: For payments made at the time of ordering, delivery times start upon receipt of actual payment. The indicated deadlines are not strict deadlines, and exceeding them does not entitle the buyer to damages, withholding, or cancellation of ongoing orders.
Delivery is made to the location specified by the buyer when placing the order. In the case of delivery to a construction site, the buyer must ensure site accessibility for the delivery carrier and provide their contact details.
If the order requires assembly, specific work, or any other special feature, delivery will be subject to a feasibility study, and deadlines may be extended. In any case, delivery within the agreed timeframe or availability of the goods can only occur if the buyer is up to date with their payment obligations to our company.
Any delivery claim must be made within 48 hours of receipt. Beyond that, SOCOMEX declines all responsibility for loss, theft, missing items, or other issues. It is the buyer’s responsibility to safeguard their rights against the carrier by making reservations as per applicable regulations. Any claims regarding apparent defects or non-compliance of goods must be reported to the seller in writing within 48 hours of delivery. No item will be returned unless SOCOMEX is responsible for the error.
Socomex determines and defines the payment terms.
Unless otherwise stipulated, the price is payable in full and in a single installment according to the payment terms previously agreed upon with the buyer.
In case of non-payment at any due date, all deliveries will be suspended.
Any late payment will incur a fixed penalty of €40.00 in addition to late payment penalties calculated as follows:
(Excluding tax amount X applicable rate over the period) X (number of days late / 365).
Failure to pay invoices on time will result in the re-invoicing of bank fees to the buyer.
The seller reserves the right, at any time, based on the risks involved, to set a credit limit for the buyer and to require specific payment terms or guarantees. No discount will be granted for early payment.
The seller retains ownership of the goods sold until full payment of the principal and accessories. During the ownership retention period, as a custodian, the buyer must insure the goods against all risks of damage or liability.
The buyer, authorized to resell the delivered goods in the normal course of business, must immediately inform our company of any seizure by a third party of goods delivered under retention of title.
Our company will be released from its obligations for any event beyond its control that prevents or delays product delivery, contractually considered as force majeure. This includes events such as lock-outs, strikes, fire, epidemics, embargoes, accidents, machine breakdowns, transportation disruptions or delays, supply impossibility, raw material defects, or any other event beyond our control causing partial or total work stoppage in our company, suppliers, or subcontractors.
The buyer agrees to respect all intellectual property rights of our company, which they declare to be fully aware of.
Failure by our company to comply with obligations imposed by the buyer will not result in the immediate termination of any relationship, such as referencing, cancellation of ongoing orders, and/or termination of sales of already delivered goods.
For normal use, our warranty is limited to the replacement of recognized defective parts within one year, without any indemnity or damages being claimed. Re-shipment costs are covered by our company. Dismantling and reinstallation costs are not covered by the warranty.
Advice, technical indications, and proposals we may provide do not imply any guarantee on our part. It is the customer’s responsibility to ensure the equipment is suitable for the actual usage conditions.
All disputes, even in cases of warranty claims or multiple defendants, will, in the absence of an amicable agreement, be under the exclusive jurisdiction of the Commercial Court of Foix (09).
